These Terms of Service ("Terms") govern access to and use of the website, products, and services provided by Mergen AI Inc. ("Mergen AI," "we," "us," or "our"), including Launch™, our unified compliance workspace for food and beverage manufacturers.
By accessing or using the services, you agree to these Terms. If you do not agree, you may not use the services.
1. Scope of the Services
Mergen AI provides software that executes regulatory compliance workflows for food and beverage products. Launch™ enables customers to centralize product data, validate regulatory requirements, generate regulatory forms and documentation, and produce submission-ready compliance outputs with AI assistance and required human oversight.
Mergen AI provides execution infrastructure, not legal representation, regulatory authority, or third-party consulting services.
2. Eligibility and Account Responsibilities
You must be legally capable of entering into a binding agreement to use the services.
You are responsible for:
- Providing accurate, complete, and current account information
- Maintaining the confidentiality of account credentials
- All activity conducted under your account
You must promptly notify Mergen AI of any unauthorized access or use.
3. Regulatory Responsibility and Limitations
Launch™ is designed to support and execute regulatory workflows based on customer inputs and applicable regulatory logic.
You acknowledge and agree that:
- Launch™ does not replace regulatory authorities
- Launch™ does not guarantee regulatory approval or acceptance
- Final responsibility for compliance decisions, submissions, and product legality rests with the customer
- Regulatory outputs must be reviewed and approved by qualified personnel prior to submission or reliance.
4. AI-Assisted Execution and Human Oversight
Launch™ uses AI agents to assist with regulatory execution, including information validation, form generation, document generation, and workflow orchestration.
The platform is explicitly human-governed:
- AI execution plans are reviewable before execution
- AI-generated outputs require human approval or rejection
- No output is considered final without authorized human sign-off
This human-in-the-loop model is fundamental to safe, auditable operation in regulated environments.
5. Compliance Context Graph and Decision Records
Launch™ records regulatory executions, approvals, rejections, and rationales as structured decision records within a persistent Compliance Context Graph.
These records:
- Enable full traceability and audit readiness
- Preserve regulatory reasoning and execution history
- Improve automation quality, consistency, and speed over time
Decision records remain under customer control and are not disclosed externally except as required by law or explicitly authorized.
6. Customer Obligations
You agree to:
- Provide accurate and lawful product data
- Ensure appropriate internal review and approval of outputs
- Use the services solely for lawful and authorized purposes
- Comply with all applicable laws, regulations, and industry requirements
Mergen AI is not responsible for errors resulting from incomplete, inaccurate, or misleading inputs.
7. Fees, Plans, and Trials
Access to certain features may require payment. Pricing, plan limits, and entitlements are described on the website or applicable order forms.
Trials and previews:
- Are time-limited
- May restrict access to full outputs, exports, or reuse
- Do not grant rights to rely on or reuse outputs after expiration
Fees are non-refundable unless explicitly stated otherwise.
8. Intellectual Property and Ownership
All software, models, workflows, platform architecture, and related materials are owned by Mergen AI or its licensors.
Customers retain ownership of:
- Their product data
- Uploaded materials
- Regulatory outputs generated for their use
You may not copy, reverse engineer, sublicense, resell, or misuse the services.
9. Confidentiality
Each party agrees to protect the other's confidential information using reasonable safeguards and to use such information solely for purposes related to the services.
Confidential information excludes information that is publicly available or independently developed without reference to the other party's data.
10. Data Protection and Privacy
Use of the services is subject to our Privacy Policy, which forms part of these Terms and describes how data is collected, processed, protected, and governed.
By using Launch™, you acknowledge and agree to those practices.
11. Security and Operational Integrity
Mergen AI enforces administrative, technical, and organizational safeguards designed for regulated and enterprise environments, including role-based access controls, encryption, monitoring, environment isolation, and comprehensive audit logging.
Security, confidentiality, and operational integrity are enforced as core platform requirements, not optional features.
12. Third-Party Services and Integrations
The services may integrate with third-party systems or rely on third-party providers. Mergen AI is not responsible for third-party services, content, or availability.
13. Disclaimers
The services are provided "as is" and "as available."
To the maximum extent permitted by law, Mergen AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law:
- Mergen AI shall not be liable for indirect, incidental, special, or consequential damages
- Mergen AI's aggregate liability shall not exceed the total fees paid by you in the twelve months preceding the claim
15. Indemnification
You agree to indemnify and hold harmless Mergen AI from claims, damages, or liabilities arising from:
- Your misuse of the services
- Your regulatory submissions or product compliance
- Your violation of these Terms or applicable law
16. Suspension and Termination
Mergen AI may suspend or terminate access if:
- These Terms are violated
- Use creates legal, regulatory, or security risk
- Required fees are unpaid
Upon termination, access to the services will cease, subject to lawful data retention obligations.
17. Changes to the Terms
We may update these Terms from time to time. Material changes will be posted with an updated date. Continued use constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by the laws of the jurisdiction in which Mergen AI is incorporated, without regard to conflict-of-laws principles.
